class=\"note\">The persons who from time to time are members of the Association are an incorporated association by the name given in rule 1 of these Rules.<\/p>\r\n<p class=\"note\">Under section 46 of the <strong>Associations Incorporation Reform Act 2012<\/strong>, these Rules are taken to constitute the terms of a contract between the Association and its members.<\/p>\r\n<p><a href=\"#contents\">Return to contents<\/a><\/p>\r\n<hr>\r\n<h2 id=\"part-1\">PART 1\u2014PRELIMINARY<\/h2>\r\n<h4 id=\"rule-1\">1\tName<\/h4>\r\n<p>The name of the incorporated association is <strong>Riddells Creek Men\u2019s Shed Incorporated (RCMS Inc.<\/strong><strong>)<\/strong><\/p>\r\n<p class=\"note\"><strong>Note<\/strong><\/p>\r\n<p class=\"note\">Under section 23 of the Act, the name of the association and its registration number must appear on all its business documents.<\/p>\r\n<h4 id=\"rule-2\">2\tPurposes<\/h4>\r\n<p>The purposes of the association are \u2014<\/p>\r\n<p>The RCMS is a community based, not \u2013 for profit association that is open to all men.<\/p>\r\n<p>To provide a safe, supportive and friendly environment for men of all ages to gather, volunteer, work, teach, learn and seek fellowship with other like-minded men<\/p>\r\n<p>To promote the mental, physical, emotional and economic well-being of men in our Shed<\/p>\r\n<h4 id=\"rule-3\">3\tFinancial year<\/h4>\r\n<p>The financial year of the Association is each period of 12 months ending on 30th June.<\/p>\r\n<h4 id=\"rule-4\">4\tDefinitions<\/h4>\r\n<p>In these Rules\u2014<\/p>\r\n<p class=\"definition\"><em><strong>absolute majority<\/strong><\/em>, of the Committee, means a majority of the committee members currently holding office and entitled to vote at the time (as distinct from a majority of committee members present at a committee meeting);<\/p>\r\n<p class=\"definition\"><em><strong>appeal subcommittee <\/strong><\/em>means a subcommittee appointed under rule 23(3);<\/p>\r\n<p class=\"definition\"><em><strong>associate member <\/strong><\/em>means a member referred to in rule 14(1);<\/p>\r\n<p class=\"definition\"><em><strong>Chairperson<\/strong><\/em>, of a general meeting or committee meeting, means the person chairing the meeting as required under rule 46;<\/p>\r\n<p class=\"definition\"><em><strong>Committee <\/strong><\/em>means the Committee having management of the business of the Association;<\/p>\r\n<p class=\"definition\"><em><strong>committee meeting <\/strong><\/em>means a meeting of the Committee held in accordance with these Rules;<\/p>\r\n<p class=\"definition\"><em><strong>committee member <\/strong><\/em>means a member of the Committee elected or appointed under Division 3 of Part 5;<\/p>\r\n<p class=\"definition\"><em><strong>disciplinary appeal meeting <\/strong><\/em>means a meeting of the appeal subcommittee convened for the purposes of rule 24;<\/p>\r\n<p class=\"definition\"><em><strong>disciplinary meeting <\/strong><\/em>means a meeting of the Committee convened for the purposes of rule 22;<\/p>\r\n<p class=\"definition\"><em><strong>disciplinary subcommittee<\/strong><\/em> means the subcommittee appointed under rule 20;<\/p>\r\n<p class=\"definition\"><em><strong>financial year <\/strong><\/em>means the 12-month period specified in rule 3;<\/p>\r\n<p class=\"definition\"><em><strong>general meeting <\/strong><\/em>means a general meeting of the members of the Association convened in accordance with Part 4 and includes an annual general meeting and a special general meeting;<\/p>\r\n<p class=\"definition\"><em><strong>member <\/strong><\/em>means a member of the Association;<\/p>\r\n<p class=\"definition\"><em><strong>registered mediator <\/strong><\/em>means a person registered as a mediator accredited under the National Mediator Accreditation System developed by the Mediator Standards Board Limited ABN 11 145 829 812;<\/p>\r\n<p class=\"definition\"><em><strong>special resolution <\/strong><\/em>means a resolution that requires not less than three-quarters of the members voting at a general meeting, whether in person or by proxy, to vote in favour of the resolution;<\/p>\r\n<p class=\"definition\"><em><strong>the Act <\/strong><\/em>means the <strong>Associations Incorporation Reform Act 2012 <\/strong>and includes any regulations made under that Act;<\/p>\r\n<p class=\"definition\"><em><strong>the Registrar <\/strong><\/em>means the Registrar of Incorporated Associations.<\/p>\r\n<p><a href=\"#contents\">Return to contents<\/a><\/p>\r\n<hr>\r\n<h2 id=\"part-2\">PART 2\u2014POWERS OF ASSOCIATION<\/h2>\r\n<h4 id=\"rule-5\">5\tPowers of Association<\/h4>\r\n<p class=\"subrule level-1\">(1)\tSubject to the Act, the Association has power to do all things incidental or conducive to achieve its purposes.<\/p>\r\n<p class=\"subrule level-1\">(2)\tWithout limiting subrule (1), the Association may\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tacquire, hold and dispose of real or personal property; or<\/p>\r\n<p class=\"subrule level-2\">(b)\topen and operate accounts with financial institutions; or<\/p>\r\n<p class=\"subrule level-2\">(c)\tinvest its money in any security in which trust monies may lawfully be invested; or<\/p>\r\n<p class=\"subrule level-2\">(d)\traise and borrow money on any terms and in any manner as it thinks fit; or<\/p>\r\n<p class=\"subrule level-2\">(e)\tsecure the repayment of money raised or borrowed, or the payment of a debt or liability; or<\/p>\r\n<p class=\"subrule level-2\">(f)\tappoint agents to transact business on its behalf; or<\/p>\r\n<p class=\"subrule level-2\">(g)\tenter into any other contract it considers necessary or desirable.<\/p>\r\n<p class=\"subrule level-1\">(3)\tThe Association may only exercise its powers and use its income and assets (including any surplus) for its purposes.<\/p>\r\n<h4 id=\"rule-6\">6\tNot for profit organisation<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe Association must not distribute any surplus, income or assets directly or indirectly to its members.<\/p>\r\n<p class=\"subrule level-1\">(2)\tSubrule (1) does not prevent the Association from paying a member\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\treimbursement for expenses properly incurred by the member; or<\/p>\r\n<p class=\"subrule level-2\">(b)\tfor goods or services provided by the member\u2014<\/p>\r\n<p>if this is done in good faith on terms no more favourable than if the member was not a member.<\/p>\r\n<p class=\"note\"><strong>Note<\/strong><\/p>\r\n<p class=\"note\">Section 33 of the Act provides that an incorporated association must not secure pecuniary profit for its members.  Section 4 of the Act sets out in more detail the circumstances under which an incorporated association is not taken to secure pecuniary profit for its members.<\/p>\r\n<p><a href=\"#contents\">Return to contents<\/a><\/p>\r\n<hr>\r\n<h2 id=\"part-3\">PART 3\u2014MEMBERS, DISCIPLINARY PROCEDURES AND GRIEVANCES<\/h2>\r\n<h3 id=\"part-3-division-1\">Division 1\u2014Membership<\/h3>\r\n<h4 id=\"rule-7\">7\tMinimum number of members<\/h4>\r\n<p>The Association must have at least 5 members.<\/p>\r\n<h4 id=\"rule-8\">8\tWho is eligible to be a member<\/h4>\r\n<p>Any male person who supports the purposes of the Association is eligible for membership.<\/p>\r\n<h4 id=\"rule-9\">9\tApplication for membership<\/h4>\r\n<p class=\"subrule level-1\">(1)\tTo apply to become a member of the Association, a male person must submit a written application to a committee member stating that the male person\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\twishes to become a member of the Association; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tsupports the purposes of the Association; and<\/p>\r\n<p class=\"subrule level-2\">(c)\tagrees to comply with these Rules.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe application\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tmust be signed by the applicant; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tmay be accompanied by the joining fee.<\/p>\r\n<p class=\"note\"><strong>Notes<\/strong><\/p>\r\n<p class=\"note\">The joining fee is the fee (if any) determined by the Association under rule 12(3).<\/p>\r\n<p class=\"note\">A requirement for a signature of a person may be met by electronic signature. See section 9 of the <strong>Electronic Transactions (Victoria) Act 2000<\/strong>.<\/p>\r\n<h4 id=\"rule-10\">10\tConsideration of application<\/h4>\r\n<p class=\"subrule level-1\">(1)\tAs soon as practicable after an application for membership is received, the Committee must decide by resolution whether to accept or reject the application.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe Committee must notify the applicant in writing of its decision as soon as practicable after the decision is made.<\/p>\r\n<p class=\"subrule level-1\">(3)\tIf the Committee rejects the application, it must return any money accompanying the application to the applicant.<\/p>\r\n<p class=\"subrule level-1\">(4)\tThe Committee is not required to give a reason for the rejection of an application.<\/p>\r\n<p class=\"note\"><strong>Note<\/strong><\/p>\r\n<p class=\"note\">An association may have obligations under Division 6 of Part 4 of the <strong>Equal Opportunity Act 2010<\/strong>.<\/p>\r\n<h4 id=\"rule-11\">11\tNew membership<\/h4>\r\n<p class=\"subrule level-1\">(1)\tIf an application for membership is approved by the Committee\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthe resolution to accept the membership must be recorded in the minutes of the committee meeting; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tthe Secretary must, as soon as practicable, ensure the name and address of the new member, and the date on which they became a member, is recorded in the register of members.<\/p>\r\n<p class=\"subrule level-1\">(2)\tA male person becomes a member of the Association from the date on which both of the following have occurred\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthe Committee approves the male  person&#x27;s membership; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tthe male  person pays the joining fee.<\/p>\r\n<p class=\"subrule level-1\">(3) \tSubject to rule 13(2), a male person is entitled to exercise their rights of membership from the date referred to in subrule (2).<\/p>\r\n<h4 id=\"rule-12\">12\t   Annual subscription and fee on joining<\/h4>\r\n<p class=\"subrule level-1\">(1)\tAt each annual general meeting, the Association must determine\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthe process for setting the amount of the annual subscription (if any) for the following financial year; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tthe date for payment of the annual subscription.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe Association may determine that a lower annual subscription is payable by associate members.<\/p>\r\n<p class=\"subrule level-1\">(3)\tThe Association may determine that any new male member who joins after the start of a financial year must, for that financial year, pay a fee equal to\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthe full annual subscription; or<\/p>\r\n<p class=\"subrule level-2\">(b)\ta pro rata annual subscription based on the remaining part of the financial year; or<\/p>\r\n<p class=\"subrule level-2\">(c)\ta fixed amount determined from time to time by the Association.<\/p>\r\n<p class=\"subrule level-1\">(4)\tThe rights of a member (including the right to vote) who has not paid the annual subscription by the due date are suspended until the subscription is paid.<\/p>\r\n<h4 id=\"rule-13\">13\tGeneral rights of members<\/h4>\r\n<p class=\"subrule level-1\">(1)\tA member of the Association who is entitled to vote has the right\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tto receive notice of general meetings and of proposed special resolutions in the manner and time prescribed by these Rules; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tto submit items of business for consideration at a general meeting; and<\/p>\r\n<p class=\"subrule level-2\">(c)\tto attend and be heard at general meetings; and<\/p>\r\n<p class=\"subrule level-2\">(d)\tto vote at a general meeting; and<\/p>\r\n<p class=\"subrule level-2\">(e)\tto have access to the minutes of general meetings and other documents of the Association as provided under rule 75; and<\/p>\r\n<p class=\"subrule level-2\">(f)\tto inspect the register of members.<\/p>\r\n<p class=\"subrule level-1\">(2)\tA member is entitled to vote if\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthe member is a member other than an associate member; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tmore than 10 business days have passed since the member became a member of the Association; and<\/p>\r\n<p class=\"subrule level-2\">(c)\tthe member&#x27;s membership rights are not suspended for any reason.<\/p>\r\n<h4 id=\"rule-14\">14\tAssociate members<\/h4>\r\n<p class=\"subrule level-1\">(1)\tAssociate members of the Association include\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tany male members under the age of 15 years; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tany other category of member as determined by special resolution at a general meeting.<\/p>\r\n<p class=\"subrule level-1\">(2)\tAn associate member must not vote but may have other rights as determined by the Committee or by resolution at a general meeting.<\/p>\r\n<h4 id=\"rule-15\">15\tRights not transferable<\/h4>\r\n<p>The rights of a member are not transferable and end when membership ceases.<\/p>\r\n<h4 id=\"rule-16\">16\tCeasing membership<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe membership of a person ceases on resignation, expulsion or death.<\/p>\r\n<p class=\"subrule level-1\">(2)\tIf a person ceases to be a member of the Association, the Secretary must, as soon as practicable, enter the date the person ceased to be a member in the register of members.<\/p>\r\n<h4 id=\"rule-17\">17\tResigning as a member<\/h4>\r\n<p class=\"subrule level-1\">(1)\tA member may resign by notice in writing given to the Association.<\/p>\r\n<p class=\"note\"><strong>Note<\/strong><\/p>\r\n<p class=\"note\">Rule 74(3) sets out how notice may be given to the association.  It includes by post or by handing the notice to a member of the committee.<\/p>\r\n<p class=\"subrule level-1\">(2)\tA member is taken to have resigned if\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthe member&#x27;s annual subscription is more than 12 months in arrears; or<\/p>\r\n<p class=\"subrule level-2\">(b)\twhere no annual subscription is payable\u2014<\/p>\r\n<p class=\"subrule level-3\">(i)\tthe Secretary has made a written request to the member to confirm that the member wishes to remain a member; and<\/p>\r\n<p class=\"subrule level-3\">(ii)\tthe member has not, within 3 months after receiving that request, confirmed in writing that the member wishes to remain a member.<\/p>\r\n<h4 id=\"rule-18\">18\tRegister of members<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe Secretary must keep and maintain a register of members that includes\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tfor each current member\u2014<\/p>\r\n<p class=\"subrule level-3\">(i)\tthe member&#x27;s name; and<\/p>\r\n<p class=\"subrule level-3\">(ii)\tthe address for notice last given by the member; and<\/p>\r\n<p class=\"subrule level-3\">(iii)\tthe email address last given by the member (if available); and<\/p>\r\n<p class=\"subrule level-3\">(iv)\tthe date of becoming a member; and<\/p>\r\n<p class=\"subrule level-3\">(v)\tif the member is an associate member, a note to that effect; and<\/p>\r\n<p class=\"subrule level-3\">(vi)\tany other information determined by the Committee; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tfor each former member, the name of the person and the date on which the person ceased to be a member of the Association.<\/p>\r\n<p class=\"subrule level-1\">(2)\tAny member may, at a reasonable time and free of charge, inspect the register of members.<\/p>\r\n<p class=\"note\"><strong>Note<\/strong><\/p>\r\n<p class=\"note\">Under section 59 of the Act, access to the personal information of a person recorded in the register of members may be restricted in certain circumstances.  Section 58 of the Act provides that it is an offence to make improper use of information about a person obtained from the register of members.<\/p>\r\n<h3 id=\"part-3-division-2\">Division 2\u2014Disciplinary action<\/h3>\r\n<h4 id=\"rule-19\">19\tGrounds for taking disciplinary action<\/h4>\r\n<p>The Association may take disciplinary action against a member in accordance with this Division if it is determined that the member\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\thas failed to comply with these Rules; or<\/p>\r\n<p class=\"subrule level-2\">(b)\trefuses to support the purposes of the Association; or<\/p>\r\n<p class=\"subrule level-2\">(c)\thas engaged in conduct prejudicial to the Association.<\/p>\r\n<h4 id=\"rule-20\">20\tDisciplinary subcommittee<\/h4>\r\n<p class=\"subrule level-1\">(1)\tIf the Committee is satisfied that there are sufficient grounds for taking disciplinary action against a member, the Committee must appoint a disciplinary subcommittee to hear the matter and determine what action, if any, to take against the member.<\/p>\r\n<p class=\"subrule level-1\">(2)\tSubject to subrule (3), the Committee may appoint any person to a disciplinary subcommittee.<\/p>\r\n<p class=\"subrule level-1\">(3)\tA person must not be appointed to a disciplinary subcommittee if the person is biased in favour of or against the member concerned.<\/p>\r\n<h4 id=\"rule-21\">21\tNotice to member<\/h4>\r\n<p class=\"subrule level-1\">(1)\tBefore disciplinary action is taken against a member, the Secretary must give written notice to the member\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tstating that the Association proposes to take disciplinary action against the member; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tstating the grounds for the proposed disciplinary action; and<\/p>\r\n<p class=\"subrule level-2\">(c)\tspecifying the date, place and time of the meeting at which the disciplinary subcommittee intends to consider the disciplinary action (the <em><strong>disciplinary meeting<\/strong><\/em>); and<\/p>\r\n<p class=\"subrule level-2\">(d)\tadvising the member that the member may do one or both of the following\u2014<\/p>\r\n<p class=\"subrule level-3\">(i)\tattend the disciplinary meeting and address the disciplinary subcommittee at that meeting;<\/p>\r\n<p class=\"subrule level-3\">(ii)\tgive a written statement to the disciplinary subcommittee at any time before the disciplinary meeting; and<\/p>\r\n<p class=\"subrule level-2\">(e)\tsetting out the member&#x27;s appeal rights under rule 23.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe notice must be given no earlier than 28 days, and no later than 14 days, before the disciplinary meeting is held.<\/p>\r\n<h4 id=\"rule-22\">22\tDecision of subcommittee<\/h4>\r\n<p class=\"subrule level-1\">(1)\tAt the disciplinary meeting, the disciplinary subcommittee must\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tgive the member an opportunity to be heard; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tconsider any written statement submitted by the member.<\/p>\r\n<p class=\"subrule level-1\">(2)\t\tAfter complying with subrule (1), the disciplinary subcommittee may\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\ttake no further action against the member; or<\/p>\r\n<p class=\"subrule level-2\">(b)\tsubject to subrule (3)\u2014<\/p>\r\n<p class=\"subrule level-3\">(i)\treprimand the member; or<\/p>\r\n<p class=\"subrule level-3\">(ii)\tsuspend the membership rights of the member for a specified period; or<\/p>\r\n<p class=\"subrule level-3\">(iii)\texpel the member from the Association.<\/p>\r\n<p class=\"subrule level-1\">(3)\tThe disciplinary subcommittee may not fine the member.<\/p>\r\n<p class=\"subrule level-1\">(4)\tThe suspension of membership rights or the expulsion of a member by the disciplinary subcommittee under this rule takes effect immediately after the vote is passed.<\/p>\r\n<h4 id=\"rule-23\">23\t   Appeal rights<\/h4>\r\n<p class=\"subrule level-1\">(1)\tA person whose membership rights have been suspended or who has been expelled from the Association under rule 22 may give notice to the effect that the person wishes to appeal against the suspension or expulsion.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe notice must be in writing and given\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tto the disciplinary subcommittee immediately after the vote to suspend or expel the person is taken; or<\/p>\r\n<p class=\"subrule level-2\">(b)\tto the Secretary not later than 7 days after the vote.<\/p>\r\n<p class=\"subrule level-1\">(3)\tIf a person has given notice under subrule (2), the Committee must appoint at least 3 persons to an appeal subcommittee to consider the appeal.<\/p>\r\n<p class=\"subrule level-1\">(4)\tSubject to subrule (5), the Committee may appoint any person to an appeal subcommittee.<\/p>\r\n<p class=\"subrule level-1\">(5)\tA person must not be appointed to an appeal subcommittee if the person\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\twas appointed to the disciplinary subcommittee to hear and determine the matter of the member concerned; or<\/p>\r\n<p class=\"subrule level-2\">(b)\thas a personal interest in the dispute; or<\/p>\r\n<p class=\"subrule level-2\">(c)\tis biased in favour of or against the member concerned.<\/p>\r\n<p class=\"subrule level-1\">(6)\tThe committee must convene a meeting of the appeal subcommittee (the <em>disciplinary appeal meeting<\/em>) as soon as practicable and no later than 21 days after the notice of the appeal is received.<\/p>\r\n<p class=\"subrule level-1\">(7)\tNotice of the disciplinary appeal meeting must be given to each member of the appeal subcommittee and the member concerned as soon as practicable and must\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tspecify the date, time and place of the meeting; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tstate\u2014<\/p>\r\n<p class=\"subrule level-3\">(i)\tthe name of the person against whom the disciplinary action has been taken; and<\/p>\r\n<p class=\"subrule level-3\">(ii)\tthe grounds for taking that action; and<\/p>\r\n<p class=\"subrule level-3\">(iii)\tthat at the disciplinary appeal meeting the appeal subcommittee members present must vote on whether the decision to suspend or expel the person should be upheld or revoked.<\/p>\r\n<h4 id=\"rule-24\">24\tConduct of disciplinary appeal meeting<\/h4>\r\n<p class=\"subrule level-1\">(1)\tAt a disciplinary appeal meeting\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tno business other than the question of the appeal may be conducted; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tthe appeal subcommittee must state the grounds for suspending or expelling the member and the reasons for taking that action; and<\/p>\r\n<p class=\"subrule level-2\">(c)\tthe person whose membership has been suspended or who has been expelled must be given an opportunity to be heard.<\/p>\r\n<p class=\"subrule level-1\">(2)\tAfter complying with subrule (1), members of the appeal subcommittee present and entitled to vote at the meeting must vote by secret ballot on the question of whether the decision to suspend or expel the person should be upheld or revoked.<\/p>\r\n<p class=\"subrule level-1\">(3)\tA member may not vote by proxy at the meeting.<\/p>\r\n<p class=\"subrule level-1\">(4)\tThe decision is upheld if a majority of the persons voting at the meeting vote in favour of the decision.<\/p>\r\n<h3 id=\"part-3-division-3\">Division 3\u2014Grievance procedure<\/h3>\r\n<h4 id=\"rule-25\">25\tApplication<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe grievance procedure set out in this Division applies to disputes under these Rules between\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\ta member and another member; and<\/p>\r\n<p class=\"subrule level-2\">(b)\ta member and the Committee; and<\/p>\r\n<p class=\"subrule level-2\">(c)\ta member and the Association.<\/p>\r\n<p class=\"subrule level-1\">(2)\tA member must not initiate a grievance procedure in relation to a matter that is the subject of a disciplinary procedure until the disciplinary procedure has been completed.<\/p>\r\n<h4 id=\"rule-26\">26\t    Parties must attempt to resolve the dispute<\/h4>\r\n<p>The parties to a dispute must attempt to resolve the dispute between themselves within 14 days of the dispute coming to the attention of each party.<\/p>\r\n<h4 id=\"rule-27\">27\tAppointment of mediator<\/h4>\r\n<p class=\"subrule level-1\">(1)\tIf the parties to a dispute are unable to resolve the dispute between themselves within the time required by rule 26, the parties must within 10 days\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tnotify the Committee of the dispute; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tagree to or request the appointment of a mediator; and<\/p>\r\n<p class=\"subrule level-2\">(c)\tattempt in good faith to settle the dispute by mediation.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe mediator must be\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\ta person chosen by agreement between the parties; or<\/p>\r\n<p class=\"subrule level-2\">(b)\tin the absence of agreement\u2014<\/p>\r\n<p class=\"subrule level-3\">(i)\tif the dispute is between a member and another member\u2014a person appointed by the Committee; or<\/p>\r\n<p class=\"subrule level-3\">(ii)\tif the dispute is between a member and the Committee or the Association\u2014a registered mediator.<\/p>\r\n<p class=\"subrule level-1\"><strong>Note<\/strong><\/p>\r\n<p class=\"subrule level-1\"><strong>\t<\/strong><strong>\t<\/strong>This includes a registered mediator appointed or employed by the Dispute Settlement Centre of Victoria or accredited by the Victorian Bar.<\/p>\r\n<p class=\"subrule level-1\">(3)\tSubject to subrule (4), the Committee may appoint any person as a mediator.<\/p>\r\n<p class=\"subrule level-1\">(4)\tThe Committee must not appoint a person as a mediator if the person\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\thas a personal interest in the dispute; or<\/p>\r\n<p class=\"subrule level-2\">(b)\tis biased in favour of or against any party.<\/p>\r\n<h4 id=\"rule-28\">28\tMediation process<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe mediator to the dispute, in conducting the mediation, must\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tgive each party every opportunity to be heard; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tallow due consideration by all parties of any written statement submitted by any party; and<\/p>\r\n<p class=\"subrule level-2\">(c)\tensure that natural justice is accorded to the parties throughout the mediation process.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe mediator must not determine the dispute.<\/p>\r\n<p class=\"subrule level-1\">(3)\tAny costs of mediation are to be paid\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tif an agreement as to costs is reached between the parties\u2014in accordance with that agreement; or<\/p>\r\n<p class=\"subrule level-2\">(b)\tif there is no such agreement\u2014by the Committee.<\/p>\r\n<h4 id=\"rule-29\">29\tFailure to resolve dispute by mediation<\/h4>\r\n<p>If the mediation process does not resolve the dispute, the parties may seek to resolve the dispute in accordance with the Act or otherwise at law.<\/p>\r\n<p><a href=\"#contents\">Return to contents<\/a><\/p>\r\n<hr>\r\n<h2 id=\"part-4\">PART 4\u2014GENERAL MEETINGS OF THE ASSOCIATION<\/h2>\r\n<h4 id=\"rule-30\">30\tAnnual general meetings<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe Committee must convene an annual general meeting of the Association to be held within 5 months after the end of each financial year.<\/p>\r\n<p class=\"subrule level-1\">(2)\tDespite subrule (1), the Association may hold its first annual general meeting at any time within 18 months after its incorporation.<\/p>\r\n<p class=\"subrule level-1\">(3)\tThe Committee may determine the date, time and place of the annual general meeting.<\/p>\r\n<p class=\"subrule level-1\">(4)\tThe ordinary business of the annual general meeting is as follows\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tto confirm the minutes of the previous annual general meeting and of any special general meeting or general meeting held since then;<\/p>\r\n<p class=\"subrule level-2\">(b)\tto receive and consider\u2014<\/p>\r\n<p class=\"subrule level-3\">(i)\tthe annual report of the Committee on the activities of the Association during the preceding financial year; and<\/p>\r\n<p class=\"subrule level-3\">(ii)\tthe financial statements of the Association for the preceding financial year submitted by the Committee in accordance with Part 7 of the Act;<\/p>\r\n<p class=\"subrule level-2\">(c)\tto elect the members of the Committee;<\/p>\r\n<p class=\"subrule level-2\">(d)\tto determine the process for setting the amounts (if any) of the annual subscription and joining fee.<\/p>\r\n<p class=\"subrule level-1\">(5)\tThe annual general meeting may also conduct any other business of which notice has been given in accordance with these Rules.<\/p>\r\n<h4 id=\"rule-31\">31\tSpecial general meetings<\/h4>\r\n<p class=\"subrule level-1\">(1)\tAny general meeting of the Association, other than an annual general meeting or a disciplinary appeal meeting, is a special general meeting.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe Committee may convene a special general meeting whenever it thinks fit.<\/p>\r\n<p class=\"subrule level-1\">(3)\tNo business other than that set out in the notice under rule 33 may be conducted at the meeting.<\/p>\r\n<p class=\"note\"><strong>Note<\/strong><\/p>\r\n<p class=\"note\">General business may be considered at the meeting if it is included as an item for consideration in the notice under rule 33 and the majority of members at the meeting agree.<\/p>\r\n<h4 id=\"rule-32\">32\tSpecial general meeting held at request of members<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe Committee must convene a special general meeting if a request to do so is made in accordance with subrule (2) by at least 10% of the total number of members.<\/p>\r\n<p class=\"subrule level-1\">(2)\tA request for a special general meeting must\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tbe in writing; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tstate the business to be considered at the meeting and any resolutions to be proposed; and<\/p>\r\n<p class=\"subrule level-2\">(c)\tinclude the names and signatures of the members requesting the meeting; and<\/p>\r\n<p class=\"subrule level-2\">(d)\tbe given to the Secretary.<\/p>\r\n<p class=\"subrule level-1\">(3)\tIf the Committee does not convene a special general meeting within one month after the date on which the request is made, the members making the request (or any of them) may convene the special general meeting.<\/p>\r\n<p class=\"subrule level-1\">(4)\tA special general meeting convened by members under subrule (3)\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tmust be held within 3 months after the date on which the original request was made; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tmay only consider the business stated in that request.<\/p>\r\n<p class=\"subrule level-1\">(5)\tThe Association must reimburse all reasonable expenses incurred by the members convening a special general meeting under subrule (3).<\/p>\r\n<h4 id=\"rule-33\">33\tNotice of general meetings<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe Secretary (or, in the case of a special general meeting convened under rule 32(3), the members convening the meeting) must give to each member of the Association\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tat least 21 days&#x27; notice of a general meeting if a special resolution is to be proposed at the meeting; or<\/p>\r\n<p class=\"subrule level-2\">(b)\tat least 14 days&#x27; notice of a general meeting in any other case.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe notice must\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tspecify the date, time and place of the meeting; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tindicate the general nature of each item of business to be considered at the meeting; and<\/p>\r\n<p class=\"subrule level-2\">(c)\tif a special resolution is to be proposed\u2014<\/p>\r\n<p class=\"subrule level-3\">(i)\tstate in full the proposed resolution; and<\/p>\r\n<p class=\"subrule level-3\">(ii)\tstate the intention to propose the resolution as a special resolution; and<\/p>\r\n<p class=\"subrule level-2\">(d)\tcomply with rule 34(5).<\/p>\r\n<p class=\"subrule level-1\">(3)\tThis rule does not apply to a disciplinary appeal meeting.<\/p>\r\n<p class=\"note\"><strong>Note<\/strong><\/p>\r\n<p class=\"note\">Rule 23(4) sets out the requirements for notice of a disciplinary appeal meeting.<\/p>\r\n<h4 id=\"rule-34\">34\tProxies<\/h4>\r\n<p class=\"subrule level-1\">(1)\tA member may appoint another member as the member\u2019s proxy to vote and speak on the member\u2019s behalf at a general meeting other than at a disciplinary appeal meeting.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe appointment of a proxy must be in writing and signed by the member making the appointment.<\/p>\r\n<p class=\"subrule level-1\">(3)\tThe member appointing the proxy may give specific directions as to how the proxy is to vote on the member\u2019s behalf, otherwise the proxy may vote on behalf of the member in any matter as the proxy sees fit.<\/p>\r\n<p class=\"subrule level-1\">(4)\tIf the Committee has approved a form for the appointment of a proxy, the member may use any other form that clearly identifies the person appointed as the member&#x27;s proxy and that has been signed by the member.<\/p>\r\n<p class=\"subrule level-1\">(5)\tNotice of a general meeting given to a member under rule 33 must\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tstate that the member may appoint another member as a proxy for the meeting; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tinclude a copy of any form that the Committee has approved for the appointment of a proxy.<\/p>\r\n<p class=\"subrule level-1\">(6)\tA form appointing a proxy must be given to the Chairperson of the meeting before or at the commencement of the meeting.<\/p>\r\n<p class=\"subrule level-1\">(7)\tA form appointing a proxy sent by post or electronically is of no effect unless it is received by the Association no later than 24 hours before the commencement of the meeting.<\/p>\r\n<h4 id=\"rule-35\">35\tUse of technology<\/h4>\r\n<p class=\"subrule level-1\">(1)\tA general meeting may be held and members may take part by the use of technology that allows members to clearly and simultaneously communicate with each other participating member.<\/p>\r\n<p class=\"subrule level-1\">(2)\tFor the purposes of this Part, a member participating in a general meeting as permitted under subrule (1) is taken to be present at the meeting and, if the member votes at the meeting, is taken to have voted in person.<\/p>\r\n<h4 id=\"rule-36\">36\tQuorum at general meetings<\/h4>\r\n<p class=\"subrule level-1\">(1)\tNo business may be conducted at a general meeting unless a quorum of members is present.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe quorum for a general meeting is the presence (physically, by proxy or as allowed under rule 35) of 10% of the members entitled to vote.<\/p>\r\n<p class=\"subrule level-1\">(3)\tIf a quorum is not present within 30 minutes after the notified commencement time of a general meeting\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tin the case of a meeting convened by, or at the request of, members under rule 32\u2014the meeting must be dissolved; or<\/p>\r\n<p class=\"note\"><strong>Note<\/strong><\/p>\r\n<p class=\"note\">If a meeting convened by, or at the request of, members is dissolved under this subrule, the business that was to have been considered at the meeting is taken to have been dealt with. If members wish to have the business reconsidered at another special meeting, the members must make a new request under rule 32.<\/p>\r\n<p class=\"subrule level-2\">(b)\tin any other case\u2014<\/p>\r\n<p class=\"subrule level-3\">(i)\tthe meeting must be adjourned to a date not more than 21 days after the adjournment; and<\/p>\r\n<p class=\"subrule level-3\">(ii)\tnotice of the date, time and place to which the meeting is adjourned must be given at the meeting and confirmed by written notice given to all members as soon as practicable after the meeting.<\/p>\r\n<p class=\"subrule level-1\">(4)\tIf a quorum is not present within 30 minutes after the time to which a general meeting has been adjourned under subrule (3)(b), the members present at the meeting (if not fewer than 3) may proceed with the business of the meeting as if a quorum were present.<\/p>\r\n<h4 id=\"rule-37\">37\tAdjournment of general meeting<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe Chairperson of a general meeting at which a quorum is present may, with the consent of a majority of members present at the meeting, adjourn the meeting to another time at the same place or at another place.<\/p>\r\n<p class=\"subrule level-1\">(2)\tWithout limiting subrule (1), a meeting may be adjourned\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tif there is insufficient time to deal with the business at hand; or<\/p>\r\n<p class=\"subrule level-2\">(b)\tto give the members more time to consider an item of business.<\/p>\r\n<p class=\"example\"><strong>Example<\/strong><\/p>\r\n<p class=\"example\">The members may wish to have more time to examine the financial statements submitted by the Committee at an annual general meeting.<\/p>\r\n<p class=\"subrule level-1\">(3)\tNo business may be conducted on the resumption of an adjourned meeting other than the business that remained unfinished when the meeting was adjourned.<\/p>\r\n<p class=\"subrule level-1\">(4)\tNotice of the adjournment of a meeting under this rule is not required unless the meeting is adjourned for 14 days or more, in which case notice of the meeting must be given in accordance with rule 33.<\/p>\r\n<h4 id=\"rule-38\">38\tVoting at general meeting<\/h4>\r\n<p class=\"subrule level-1\">(1)\tOn any question arising at a general meeting\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tsubject to subrule (3), each member who is entitled to vote has one vote; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tmembers may vote personally or by proxy; and<\/p>\r\n<p class=\"subrule level-2\">(c)\texcept in the case of a special resolution, the question must be decided on a majority of votes.<\/p>\r\n<p class=\"subrule level-1\">(2)\tIf votes are divided equally on a question, the Chairperson of the meeting has a second or casting vote.<\/p>\r\n<p class=\"subrule level-1\">(3)\tIf the question is whether or not to confirm the minutes of a previous meeting, only members who were present at that meeting may vote.<\/p>\r\n<p class=\"subrule level-1\">(4)\tThis rule does not apply to a vote at a disciplinary appeal meeting conducted under rule 24.<\/p>\r\n<h4 id=\"rule-39\">39\tSpecial resolutions<\/h4>\r\n<p>A special resolution is passed if not less than three-quarters of the members voting at a general meeting (whether in person or by proxy) vote in favour of the resolution.<\/p>\r\n<p class=\"note\"><strong>Note<\/strong><\/p>\r\n<p class=\"note\">In addition to certain matters specified in the Act, a special resolution is required\u2014<\/p>\r\n<p>(a)\tto remove a committee member from office ;<\/p>\r\n<p>(b)\tto alter these Rules, including changing the name or any of the purposes of the Association.<\/p>\r\n<h4 id=\"rule-40\">40\tDetermining whether resolution carried<\/h4>\r\n<p class=\"subrule level-1\">(1)\tSubject to subrule (2), the Chairperson of a general meeting may, on the basis of a show of hands, declare that a resolution has been\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tcarried; or<\/p>\r\n<p class=\"subrule level-2\">(b)\tcarried unanimously; or<\/p>\r\n<p class=\"subrule level-2\">(c)\tcarried by a particular majority; or<\/p>\r\n<p class=\"subrule level-2\">(d)\tlost\u2014<\/p>\r\n<p>and an entry to that effect in the minutes of the meeting is conclusive proof of that fact.<\/p>\r\n<p class=\"subrule level-1\">(2)\tIf a count is demanded by 3 or more members on any question\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthe count must be taken at the meeting in the manner determined by the Chairperson of the meeting; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tthe Chairperson must declare the result of the resolution on the basis of the count.<\/p>\r\n<p class=\"subrule level-1\">(3)\tA count demanded on the election of the Chairperson or on a question of an adjournment must be taken immediately.<\/p>\r\n<p class=\"subrule level-1\">(4)\tA count demanded on any other question must be taken before the close of the meeting at a time determined by the Chairperson.<\/p>\r\n<h4 id=\"rule-41\">41\tMinutes of general meeting<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe Committee must ensure that minutes are taken and kept of each general meeting.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe minutes must record the business considered at the meeting, any resolution on which a vote is taken and the result of the vote.<\/p>\r\n<p class=\"subrule level-1\">(3)\tIn addition, the minutes of each annual general meeting must include\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthe names of the members attending the meeting; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tthe financial statements submitted to the members in accordance with rule 30(4)(b)(ii); and<\/p>\r\n<p class=\"subrule level-2\">(c)\tthe certificate signed by 2 committee members certifying that the financial statements give a true and fair view of the financial position and performance of the Association; and<\/p>\r\n<p class=\"subrule level-2\">(d)\tany audited accounts and auditor&#x27;s report or report of a review accompanying the financial statements that are required under the Act.<\/p>\r\n<p><a href=\"#contents\">Return to contents<\/a><\/p>\r\n<hr>\r\n<h2 id=\"part-5\">PART 5\u2014COMMITTEE<\/h2>\r\n<h3 id=\"part-5-division-1\">Division 1\u2014Powers of Committee<\/h3>\r\n<h4 id=\"rule-42\">42\tRole and powers<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe business of the Association must be managed by or under the direction of a Committee.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe Committee may exercise all the powers of the Association except those powers that these Rules or the Act require to be exercised by general meetings of the members of the Association.<\/p>\r\n<p class=\"subrule level-1\">(3)\tThe Committee may\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tappoint and remove staff; and<\/p>\r\n<p class=\"subrule level-2\">(b)\testablish subcommittees consisting of members with terms of reference it considers appropriate.<\/p>\r\n<h4 id=\"rule-43\">43\tDelegation<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe Committee may delegate to a member of the Committee, a subcommittee or staff, any of its powers and functions other than\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthis power of delegation; or<\/p>\r\n<p class=\"subrule level-2\">(b)\ta duty imposed on the Committee by the Act or any other law.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe delegation must be in writing and may be subject to the conditions and limitations the Committee considers appropriate.<\/p>\r\n<p class=\"subrule level-1\">(3)\tThe Committee may, in writing, revoke a delegation wholly or in part.<\/p>\r\n<h3 id=\"part-5-division-2\">Division 2\u2014Composition of Committee and duties of members<\/h3>\r\n<h4 id=\"rule-44\">44\tComposition of Committee<\/h4>\r\n<p>The Committee consists of\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\ta President; and<\/p>\r\n<p class=\"subrule level-2\">(b)\ta Vice-President; and<\/p>\r\n<p class=\"subrule level-2\">(c)\ta Secretary; and<\/p>\r\n<p class=\"subrule level-2\">(d)\ta Treasurer; and<\/p>\r\n<p class=\"subrule level-2\">(e)\tordinary members (if any) elected under rule 53.<\/p>\r\n<h4 id=\"rule-45\">45\tGeneral Duties<\/h4>\r\n<p class=\"subrule level-1\">(1)\tAs soon as practicable after being elected or appointed to the Committee, each committee member must become familiar with these Rules and the Act.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe Committee is collectively responsible for ensuring that the Association complies with the Act and that individual members of the Committee comply with these Rules.<\/p>\r\n<p class=\"subrule level-1\">(3)\tCommittee members must exercise the member\u2019s powers and discharge the member\u2019s duties with reasonable care and diligence.<\/p>\r\n<p class=\"subrule level-1\">(4)\tCommittee members must exercise the member\u2019s powers and discharge the member\u2019s duties\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tin good faith in the best interests of the Association; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tfor a proper purpose.<\/p>\r\n<p class=\"subrule level-1\">(5)\tCommittee members and former committee members must not make improper use of\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthe member\u2019s, or former member\u2019s, position; or<\/p>\r\n<p class=\"subrule level-2\">(b)\tinformation acquired by virtue of holding the member\u2019s, or former member\u2019s, position\u2014<\/p>\r\n<p>so as to gain an advantage for themselves or any other person or to cause detriment to the Association.<\/p>\r\n<p class=\"note\"><strong>Note<\/strong><\/p>\r\n<p class=\"note\">See also Division 3 of Part 6 of the Act which sets out the general duties of the office holders of an incorporated association.<\/p>\r\n<p class=\"subrule level-1\">(6)\tIn addition to any duties imposed by these Rules, a committee member must perform any other duties imposed from time to time by resolution at a general meeting.<\/p>\r\n<h4 id=\"rule-46\">46\tPresident and Vice-President<\/h4>\r\n<p class=\"subrule level-1\">(1)\tSubject to subrule (2), the President or, in the President&#x27;s absence, the Vice-President is the Chairperson for any general meetings and for any committee meetings.<\/p>\r\n<p class=\"subrule level-1\">(2)\tIf the President and the Vice-President are both absent, or are unable to preside, the Chairperson of the meeting must be\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tin the case of a general meeting\u2014a member elected by the other members present; or<\/p>\r\n<p class=\"subrule level-2\">(b)\tin the case of a committee meeting\u2014a committee member elected by the other committee members present.<\/p>\r\n<h4 id=\"rule-47\">47\tSecretary<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe Secretary must perform any duty or function required under the Act to be performed by the secretary of an incorporated association.<\/p>\r\n<p class=\"example\"><strong>Example<\/strong><\/p>\r\n<p class=\"example\">Under the Act, the secretary of an incorporated association is responsible for lodging documents of the association with the Registrar.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe Secretary must\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tmaintain the register of members in accordance with rule 18; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tkeep custody of the common seal (if any) of the Association and, except for the financial records referred to in rule 70(3), all books, documents and securities of the Association in accordance with rules 72 and 75; and<\/p>\r\n<p class=\"subrule level-2\">(c)\tsubject to the Act and these Rules, provide members with access to the register of members, the minutes of general meetings and other books and documents; and<\/p>\r\n<p class=\"subrule level-2\">(d)\tperform any other duty or function imposed on the Secretary by these Rules.<\/p>\r\n<p class=\"subrule level-1\">(3)\tThe Secretary must give to the Registrar notice of the Secretary\u2019s appointment within 14 days after the appointment.<\/p>\r\n<h4 id=\"rule-48\">48   Treasurer<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe Treasurer must\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\treceive all moneys paid to or received by the Association and issue receipts for those moneys in the name of the Association; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tensure that all moneys received are paid into the account of the Association within 5 working days after receipt; and<\/p>\r\n<p class=\"subrule level-2\">(c)\tmake any payments authorised by the Committee or by a general meeting of the Association from the Association&#x27;s funds; and<\/p>\r\n<p class=\"subrule level-2\">(d)\tensure cheques are signed by at least 2 committee members.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe Treasurer must\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tensure that the financial records of the Association are kept in accordance with the Act; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tcoordinate the preparation of the financial statements of the Association and the Association\u2019s certification by the Committee prior to the Association\u2019s submission to the annual general meeting of the Association.<\/p>\r\n<p class=\"subrule level-1\">(3)\tThe Treasurer must ensure that all other committee members have access to the accounts and financial records of the Association.<\/p>\r\n<h3 id=\"part-5-division-3\">Division 3\u2014Election of Committee members and tenure of office<\/h3>\r\n<h4 id=\"rule-49\">49\tWho is eligible to be a Committee member<\/h4>\r\n<p>A member is eligible to be elected or appointed as a committee member if the member\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tis 18 years or over; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tis entitled to vote at a general meeting.<\/p>\r\n<h4 id=\"rule-50\">50\tPositions to be declared vacant<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThis rule applies to\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthe first annual general meeting of the Association after its incorporation; or<\/p>\r\n<p class=\"subrule level-2\">(b)\tany subsequent annual general meeting of the Association, after the annual report and financial statements of the Association have been received.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe Chairperson of the meeting must declare all positions on the Committee vacant and hold elections for those positions in accordance with rules 51 to 54.<\/p>\r\n<h4 id=\"rule-51\">51   Nominations<\/h4>\r\n<p class=\"subrule level-1\">(1)\tPrior to the election of each position, the Chairperson of the meeting must call for nominations to fill that position.<\/p>\r\n<p class=\"subrule level-1\">(2)\tAn eligible member of the Association may\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tnominate himself or<\/p>\r\n<p class=\"subrule level-2\">(b)\twith the member&#x27;s consent, be nominated by another member.<\/p>\r\n<p class=\"subrule level-1\">(3)\tA member who is nominated for a position and fails to be elected to that position may be nominated for any other position for which an election is yet to be held.<\/p>\r\n<h4 id=\"rule-52\">52\tElection of President etc.<\/h4>\r\n<p class=\"subrule level-1\">(1)\tAt the annual general meeting, separate elections must be held for each of the following positions\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tPresident;<\/p>\r\n<p class=\"subrule level-2\">(b)\tVice-President;<\/p>\r\n<p class=\"subrule level-2\">(c)\tSecretary;<\/p>\r\n<p class=\"subrule level-2\">(d)\tTreasurer.<\/p>\r\n<p class=\"subrule level-1\">(2)\tIf only one member is nominated for the position, the Chairperson of the meeting must declare the member elected to the position.<\/p>\r\n<p class=\"subrule level-1\">(3)\tIf more than one member is nominated, a ballot must be held in accordance with rule 54.<\/p>\r\n<p class=\"subrule level-1\">(4)\tOn the President\u2019s election, the new President may take over as Chairperson of the meeting.<\/p>\r\n<h4 id=\"rule-53\">53\tElection of ordinary members<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe annual general meeting must by resolution decide the number of ordinary members of the Committee (if any) it wishes to hold office for the next year.<\/p>\r\n<p class=\"subrule level-1\">(2)\tA single election may be held to fill all of those positions.<\/p>\r\n<p class=\"subrule level-1\">(3)\tIf the number of members nominated for the position of ordinary committee member is less than or equal to the number to be elected, the Chairperson of the meeting must declare each of those members to be elected to the position.<\/p>\r\n<p class=\"subrule level-1\">(4)\tIf the number of members nominated exceeds the number to be elected, a ballot must be held in accordance with rule 54.<\/p>\r\n<h4 id=\"rule-54\">54\tBallot<\/h4>\r\n<p class=\"subrule level-1\">(1)\tIf a ballot is required for the election for a position, the Chairperson of the meeting must appoint a member to act as returning officer to conduct the ballot.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe returning officer must not be a member nominated for the position.<\/p>\r\n<p class=\"subrule level-1\">(3)\tBefore the ballot is taken, each candidate may make a short speech in support of the candidate\u2019s election.<\/p>\r\n<p class=\"subrule level-1\">(4)\tThe election must be by secret ballot.<\/p>\r\n<p class=\"subrule level-1\">(5)\tIf the election is held in person, the returning officer must give a blank piece of paper to\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\teach member present in person; and<\/p>\r\n<p class=\"subrule level-2\">(b)\teach proxy appointed by a member.<\/p>\r\n<p class=\"example\"><strong>Example<\/strong><\/p>\r\n<p class=\"example\">If a member has been appointed the proxy of 5 other members, the member must be given 6 ballot papers\u2014one for the member and one each for the other members.<\/p>\r\n<p class=\"subrule level-1\">(6)\tIf the ballot is for a single position, the voter must write on the ballot paper the name of the candidate for whom they wish to vote.<\/p>\r\n<p class=\"subrule level-1\">(7)\tIf the ballot is for more than one position\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthe voter must write on the ballot paper the name of each candidate for whom they wish to vote;<\/p>\r\n<p class=\"subrule level-2\">(b)\tthe voter must not write the names of more candidates than the number to be elected.<\/p>\r\n<p class=\"subrule level-1\">(8)\tBallot papers that do not comply with subrule (7)(b) are not to be counted.<\/p>\r\n<p class=\"subrule level-1\">(9)\tEach ballot paper on which the name of a candidate has been written counts as one vote for that candidate.<\/p>\r\n<p class=\"subrule level-1\">(10)\tThe returning officer must declare elected the candidate or, in the case of an election for more than one position, the candidates who received the most votes.<\/p>\r\n<p class=\"subrule level-1\">(11)\tIf the returning officer is unable to declare the result of an election under subrule (10) because 2 or more candidates received the same number of votes, the returning officer must\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tconduct a further election for the position in accordance with subrules (4) to (10) to decide which of those candidates is to be elected; or<\/p>\r\n<p class=\"subrule level-2\">(b)\twith the agreement of those candidates, decide by lot which of them is to be elected.<\/p>\r\n<p class=\"note\"><strong>Examples<\/strong><\/p>\r\n<p class=\"note\">The choice of candidate may be decided by the toss of a coin, drawing straws or drawing a name out of a hat.<\/p>\r\n<h4 id=\"rule-55\">55\tTerm of office<\/h4>\r\n<p class=\"subrule level-1\">(1)\tSubject to subrule (3) and rule 56, a committee member holds office until the positions of the Committee are declared vacant at the next annual general meeting.<\/p>\r\n<p class=\"subrule level-1\">(2)\tA committee member may be re-elected.<\/p>\r\n<p class=\"subrule level-1\">(3)\tA general meeting of the Association may\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tby special resolution remove a committee member from office; and<\/p>\r\n<p class=\"subrule level-2\">(b)\telect an eligible member of the Association to fill the vacant position in accordance with this Division.<\/p>\r\n<p class=\"subrule level-1\">(4)\tA member who is the subject of a proposed special resolution under subrule (3)(a) may make representations in writing to the Secretary or President of the Association (not exceeding a reasonable length) and may request that the representations be provided to the members of the Association.<\/p>\r\n<p class=\"subrule level-1\">(5)\tThe Secretary or the President may give a copy of the representations to each member of the Association or, if they are not so given, the member may require that they be read out at the meeting at which the special resolution is to be proposed.<\/p>\r\n<h4 id=\"rule-56\">56\tVacation of office<\/h4>\r\n<p class=\"subrule level-1\">(1)\tA committee member may resign from the Committee by written notice addressed to the Committee.<\/p>\r\n<p class=\"subrule level-1\">(2)\tA person ceases to be a committee member if the person\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tceases to be a member of the Association; or<\/p>\r\n<p class=\"subrule level-2\">(b)\tfails to attend 3 consecutive committee meetings (other than special or urgent committee meetings) without leave of absence under rule 67; or<\/p>\r\n<p class=\"subrule level-2\">(c)\totherwise ceases to be a committee member by operation of section 78 of the Act.<\/p>\r\n<p class=\"note\"><strong>Note<\/strong><\/p>\r\n<p class=\"note\">A Committee member may not hold the office of Secretary if they do not reside in Australia.<\/p>\r\n<h4 id=\"rule-57\">57\tFilling casual vacancies<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe Committee may appoint an eligible member of the Association to fill a position on the Committee that\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\thas become vacant under rule 56; or<\/p>\r\n<p class=\"subrule level-2\">(b)\twas not filled by election at the last annual general meeting.<\/p>\r\n<p class=\"subrule level-1\">(2)\tIf the position of Secretary becomes vacant, the Committee must appoint a member to the position within 14 days after the vacancy arises.<\/p>\r\n<p class=\"subrule level-1\">(3)\tRule 55 applies to any committee member appointed by the Committee under subrule (1) or (2).<\/p>\r\n<p class=\"subrule level-1\">(4)\tThe Committee may continue to act despite any vacancy in its membership.<\/p>\r\n<h3 id=\"part-5-division-4\">Division 4\u2014Meetings of Committee<\/h3>\r\n<h4 id=\"rule-58\">58\tMeetings of Committee<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe Committee must meet at least 4 times in each year at the dates, times and places determined by the Committee.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe date, time and place of the first committee meeting must be determined by the members of the Committee as soon as practicable after the annual general meeting of the Association at which the members of the Committee were elected.<\/p>\r\n<p class=\"subrule level-1\">(3)\tSpecial committee meetings may be convened by the President or by any 4 members of the Committee.<\/p>\r\n<h4 id=\"rule-59\">59  \tNotice of meetings<\/h4>\r\n<p class=\"subrule level-1\">(1)\tNotice of each committee meeting must be given to each committee member no later than 7 days before the date of the meeting.<\/p>\r\n<p class=\"subrule level-1\">(2)\tNotice may be given of more than one committee meeting at the same time.<\/p>\r\n<p class=\"subrule level-1\">(3)\tThe notice must state the date, time and place of the meeting.<\/p>\r\n<p class=\"subrule level-1\">(4)\tIf a special committee meeting is convened, the notice must include the general nature of the business to be conducted.<\/p>\r\n<p class=\"subrule level-1\">(5)\tThe only business that may be conducted at the meeting is the business for which the meeting is convened.<\/p>\r\n<h4 id=\"rule-60\">60\t Urgent meetings<\/h4>\r\n<p class=\"subrule level-1\">(1)\tIn cases of urgency, a meeting can be held without notice being given in accordance with rule 59 provided that as much notice as practicable is given to each committee member by the quickest means practicable.<\/p>\r\n<p class=\"subrule level-1\">(2)\tAny resolution made at the meeting must be passed by an absolute majority of the Committee.<\/p>\r\n<p class=\"subrule level-1\">(3)\tThe only business that may be conducted at an urgent meeting is the business for which the meeting is convened.<\/p>\r\n<h4 id=\"rule-61\">61\tProcedure and order of business<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe procedure to be followed at a meeting of a Committee must be determined from time to time by the Committee.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe order of business may be determined by the members present at the meeting.<\/p>\r\n<h4 id=\"rule-62\">62\tUse of technology<\/h4>\r\n<p class=\"subrule level-1\">(1)\tA committee meeting may be held by the use of technology that allows committee members to clearly and simultaneously communicate with each other participating member.<\/p>\r\n<p class=\"subrule level-1\">(2)\tFor the purposes of this Part, a committee member participating in a committee meeting as permitted under subrule (1) is taken to be present at the meeting and, if the member votes at the meeting, is taken to have voted in person.<\/p>\r\n<h4 id=\"rule-63\">63\tQuorum<\/h4>\r\n<p class=\"subrule level-1\">(1)\tNo business may be conducted at a Committee meeting unless a quorum is present.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe quorum for a committee meeting is the presence (in person or as allowed under rule 62) of a majority of the committee members holding office.<\/p>\r\n<p class=\"subrule level-1\">(3)\tIf a quorum is not present within 30 minutes after the notified commencement time of a committee meeting\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tin the case of a special meeting\u2014the meeting lapses;<\/p>\r\n<p class=\"subrule level-2\">(b)\tin any other case\u2014the meeting must be adjourned to a date no later than 14 days after the adjournment and notice of the date, time and place to which the meeting is adjourned must be given in accordance with rule 59.<\/p>\r\n<h4 id=\"rule-64\">64\tVoting<\/h4>\r\n<p class=\"subrule level-1\">(1)\tOn any question arising at a committee meeting, each committee member present at the meeting has one vote.<\/p>\r\n<p class=\"subrule level-1\">(2)\tA motion is carried if a majority of committee members present and voting at the meeting vote in favour of the motion.<\/p>\r\n<p class=\"subrule level-1\">(3)\tSubrule (2) does not apply to any motion or question which is required by these Rules to be passed by an absolute majority of the Committee.<\/p>\r\n<p class=\"subrule level-1\">(4)\tIf votes are divided equally on a question, the Chairperson of the meeting has a second or casting vote.<\/p>\r\n<p class=\"subrule level-1\">(5)\tVoting by proxy is not permitted.<\/p>\r\n<h4 id=\"rule-65\">65   Conflict of interest<\/h4>\r\n<p class=\"subrule level-1\">(1)\tA committee member who has a material personal interest in a matter being considered at a committee meeting must disclose the committee member\u2019s position and the nature and extent of that interest to the Committee.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe member\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tmust not be present while the matter is being considered at the meeting; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tmust not vote on the matter.<\/p>\r\n<p class=\"note\"><strong>Note<\/strong><\/p>\r\n<p class=\"note\">Under section 81(3) of the Act, if there are insufficient committee members to form a quorum because a member who has a material personal interest is disqualified from voting on a matter, a general meeting may be called to deal with the matter.<\/p>\r\n<p class=\"subrule level-1\">(3)\tThis rule does not apply to a material personal interest\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthat exists only because the member belongs to a class of persons for whose benefit the Association is established; or<\/p>\r\n<p class=\"subrule level-2\">(b)\tthat the member has in common with all, or a substantial proportion of, the members of the Association.<\/p>\r\n<p class=\"subrule level-1\">(4)\tThe Committee must keep a conflict of interest register.<\/p>\r\n<p class=\"subrule level-1\">(5)\tThe conflict of interest register must record the following\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthe name and position of the member who has disclosed a material personal interest;<\/p>\r\n<p class=\"subrule level-2\">(b)\ta description of the nature and extent of that interest;<\/p>\r\n<p class=\"subrule level-2\">(c)\ta management plan documenting actions required to mitigate the conflict.<\/p>\r\n<h4 id=\"rule-66\">66\tMinutes of meeting<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe Committee must ensure that minutes are taken and kept of each committee meeting.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe minutes must record the following\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthe names of the members in attendance at the meeting;<\/p>\r\n<p class=\"subrule level-2\">(b)\tthe business considered at the meeting;<\/p>\r\n<p class=\"subrule level-2\">(c)\tany resolution on which a vote is taken and the result of the vote;<\/p>\r\n<p class=\"subrule level-2\">(d)\tany material personal interest disclosed under rule 65.<\/p>\r\n<h4 id=\"rule-67\">67\tLeave of absence<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe Committee may grant a committee member leave of absence from committee meetings for a period not exceeding 3 months.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe Committee must not grant leave of absence retrospectively unless it is satisfied that it was not feasible for the committee member to seek the leave in advance.<\/p>\r\n<p><a href=\"#contents\">Return to contents<\/a><\/p>\r\n<hr>\r\n<h2 id=\"part-6\">PART 6\u2014FINANCIAL MATTERS<\/h2>\r\n<h4 id=\"rule-68\">68\tSource of funds<\/h4>\r\n<p>The funds of the Association may be derived from joining fees, annual subscriptions, donations, fundraising activities, grants, interest and any other sources approved by the Committee.<\/p>\r\n<h4 id=\"rule-69\">69  Management of funds<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe Association must open an account with a financial institution from which all expenditure of the Association is made and into which all of the Association&#x27;s revenue is deposited.<\/p>\r\n<p class=\"subrule level-1\">(2)\tSubject to any restrictions imposed by a general meeting of the Association, the Committee may approve expenditure on behalf of the Association.<\/p>\r\n<p class=\"subrule level-1\">(3)\tThe Committee may authorise the Treasurer to expend funds on behalf of the Association (including by electronic funds transfer) up to a specified limit without requiring approval from the Committee for each item on which the funds are expended.<\/p>\r\n<p class=\"subrule level-1\">(4)\tAll cheques, drafts, bills of exchange, promissory notes and other negotiable instruments must be signed by 2 committee members.<\/p>\r\n<p class=\"subrule level-1\">(5)\tAll funds of the Association must be deposited into the financial account of the Association no later than 5 working days after receipt.<\/p>\r\n<p class=\"subrule level-1\">(6)\tDespite subrule (1), the Committee may authorise the Treasurer to maintain a petty cash fund for minor and incidental expenses of the Association.<\/p>\r\n<p class=\"subrule level-1\">(7)\tThe Treasurer must record the withdrawal or deposit of an amount from the petty cash fund at the time of the transaction.<\/p>\r\n<h4 id=\"rule-70\">70\tFinancial records<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe Association must keep financial records that\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tcorrectly record and explain its transactions, financial position and performance; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tenable financial statements to be prepared as required by the Act.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe Association must retain the financial records for 7 years after the transactions covered by the records are completed.<\/p>\r\n<p class=\"subrule level-1\">(3)\tThe Treasurer must keep in the Treasurer\u2019s custody, or under the Treasurer\u2019s control\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthe financial records for the current financial year; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tany other financial records as authorised by the Committee.<\/p>\r\n<h4 id=\"rule-71\">71\tFinancial statements<\/h4>\r\n<p class=\"subrule level-1\">(1)\tFor each financial year, the Committee must ensure that the requirements under the Act relating to the financial statements of the Association are met.<\/p>\r\n<p class=\"subrule level-1\">(2)\tWithout limiting subrule (1), those requirements include\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthe preparation of the financial statements; and<\/p>\r\n<p class=\"subrule level-2\">(b)\tif required, the review or auditing of the financial statements; and<\/p>\r\n<p class=\"subrule level-2\">(c)\tthe certification of the financial statements by the Committee; and<\/p>\r\n<p class=\"subrule level-2\">(d)\tthe submission of the financial statements to the annual general meeting of the Association; and<\/p>\r\n<p class=\"subrule level-2\">(e)\tthe lodgement with the Registrar of the financial statements and accompanying reports, certificates, statements and fee.<\/p>\r\n<p><a href=\"#contents\">Return to contents<\/a><\/p>\r\n<hr>\r\n<h2 id=\"part-7\">PART 7\u2014GENERAL MATTERS<\/h2>\r\n<h4 id=\"rule-72\">72\tCommon seal<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe Association may have a common seal.<\/p>\r\n<p class=\"subrule level-1\">(2)\tIf the Association has a common seal\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthe name of the Association must appear in legible characters on the common seal; and<\/p>\r\n<p class=\"subrule level-2\">(b)\ta document may only be sealed with the common seal by the authority of the Committee and the sealing must be witnessed by the signatures of 2 committee members; and<\/p>\r\n<p class=\"subrule level-2\">(c)\tthe common seal must be kept in the custody of the Secretary.<\/p>\r\n<h4 id=\"rule-73\">73\tRegistered address<\/h4>\r\n<p>The registered address of the Association is\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthe address determined from time to time by resolution of the Committee; or<\/p>\r\n<p class=\"subrule level-2\">(b)\tif the Committee has not determined an address to be the registered address\u2014the postal address of the Secretary.<\/p>\r\n<h4 id=\"rule-74\">74\tNotice requirements<\/h4>\r\n<p class=\"subrule level-1\">(1)\tAny notice required to be given to a member or a committee member under these Rules may be given\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tby handing the notice to the member personally; or<\/p>\r\n<p class=\"subrule level-2\">(b)\tby sending it by post to the member at the address recorded for the member on the register of members; or<\/p>\r\n<p class=\"subrule level-2\">(c)\tby email or facsimile transmission.<\/p>\r\n<p class=\"subrule level-1\">(2)\tSubrule (1) does not apply to notice given under rule 60.<\/p>\r\n<p class=\"subrule level-1\">(3)\tAny notice required to be given to the Association or the Committee may be given\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tby handing the notice to a member of the Committee; or<\/p>\r\n<p class=\"subrule level-2\">(b)\tby sending the notice by post to the registered address; or<\/p>\r\n<p class=\"subrule level-2\">(c)\tby leaving the notice at the registered address; or<\/p>\r\n<p class=\"subrule level-2\">(d)\tif the Committee determines that it is appropriate in the circumstances\u2014<\/p>\r\n<p class=\"subrule level-3\">(i)\tby email to the email address of the Association or the Secretary; or<\/p>\r\n<p class=\"subrule level-3\">(ii)\tby facsimile transmission to the facsimile number of the Association.<\/p>\r\n<h4 id=\"rule-75\">75\tCustody and inspection of books and records<\/h4>\r\n<p class=\"subrule level-1\">(1)\tMembers may on request inspect free of charge any of the following\u2014<\/p>\r\n<p class=\"subrule level-2\">(a)\tthe register of members;<\/p>\r\n<p class=\"subrule level-2\">(b)\tthe minutes of general meetings;<\/p>\r\n<p class=\"subrule level-2\">(c)\tsubject to subrule (2), the financial records, books, securities and any other relevant document of the Association, including minutes of Committee meetings.<\/p>\r\n<p class=\"note\"><strong>Note<\/strong><\/p>\r\n<p class=\"note\">See note following rule 18 for details of access to the register of members.<\/p>\r\n<p class=\"subrule level-1\">(2)\tThe Committee may refuse to permit a member to inspect records of the Association that relate to confidential, personal, employment, commercial or legal matters or where to do so may be prejudicial to the interests of the Association.<\/p>\r\n<p class=\"subrule level-1\">(3)\tThe Committee must on request make available, or provide copies of, these Rules available to members and applicants for membership free of charge.<\/p>\r\n<p class=\"subrule level-1\">(4)\tSubject to subrule (2), a member may request a copy of, or make a copy of, any of the other records of the Association referred to in this rule and the Association may charge a reasonable fee for provision of a copy of such a record.<\/p>\r\n<p class=\"subrule level-1\">(5)\tFor the purposes of this rule\u2014<\/p>\r\n<p class=\"definition\"><em><strong>relevant document <\/strong><\/em>means any record or other document, however compiled, recorded or stored, that relates to the incorporation and management of the Association and includes the following\u2014<\/p>\r\n<p class=\"subrule level-3\">(a)\ta membership record;<\/p>\r\n<p class=\"subrule level-3\">(b)\ta financial statement;<\/p>\r\n<p class=\"subrule level-3\">(c)\ta financial record;<\/p>\r\n<p class=\"subrule level-3\">(d)\tany other record or document relating to transactions, dealings, business or property of the Association.<\/p>\r\n<h4 id=\"rule-76\">76\tWinding up and cancellation<\/h4>\r\n<p class=\"subrule level-1\">(1)\tThe Association may be wound up voluntarily by special resolution.<\/p>\r\n<p class=\"subrule level-1\">(2)\tIn the event of the winding up or the cancellation of the incorporation of the Association, the surplus assets of the Association must not be distributed to any members or former members of the Association.<\/p>\r\n<p class=\"subrule level-1\">(3)\tSubject to the Act and any court order made under section 133 of the Act, the surplus assets must be given to a body that has similar purposes to the Association and which is not carried on for the profit or gain of its individual members.<\/p>\r\n<p class=\"subrule level-1\">(4)\tThe body to which the surplus assets are to be given must be decided by special resolution.<\/p>\r\n<h4 id=\"rule-77\">77\tAlteration of Rules<\/h4>\r\n<p>These Rules may only be altered by special resolution of a general meeting of the Association.<\/p>\r\n<p class=\"note\"><strong>Note<\/strong><\/p>\r\n<p class=\"note\">An alteration of these Rules does not take effect unless or until it is approved by the Registrar.
